Terms of Service ​

These Terms of Service ("Terms") govern your use of CozyCal Scheduling Inc's ("CozyCal," "we," "us") websites, services, and products (the "Service").

By using the Service, you agree to these Terms. If you're using it on behalf of an organization, you represent that you can bind it, and "you" means that organization. If you don't agree, don't use the Service.

For information about your data privacy, please see our Privacy Policy. If you process EU/UK/Swiss personal data through the Service, our Data Processing Agreement also applies.

Changes to the Terms of Service ​

CozyCal may update these Terms from time to time. The current version is always at www.cozycal.com/terms; continued use after changes constitutes acceptance.

Account Terms ​

You agree to provide accurate signup information, keep your credentials secure, and accept responsibility for all activity under your account.

Acceptable Use ​

You agree not to:

• Send spam or unsolicited invitations through the Service.
• Use the Service for any illegal or unauthorized purpose.
• Resell or copy the Service, or use it to build or benchmark a competing product, without CozyCal's prior written permission.
• Interfere with or bypass the Service's security or access controls, transmit malicious code, or access the Service by automated means outside of its published APIs.
• Send SMS messages through the Service without first obtaining all consents required by applicable law, including the US Telephone Consumer Protection Act (TCPA) and Canada's Anti-Spam Legislation (CASL).

Your Data ​

You are responsible for the data you submit and for having a lawful basis to do so. The Service must not be used to process protected health information (HIPAA), payment card data (other than fees you pay CozyCal via Stripe), or government-issued identification numbers; CozyCal does not sign Business Associate Agreements, and any prohibited data is processed at your sole risk.

Subscription, Billing, and Service Changes ​

CozyCal may offer free plans or trials. Paid subscriptions are billed in advance and automatically renew at the then-current rate until cancelled; by subscribing, you authorize CozyCal and its payment processor to charge you for each renewal. Fees are non-refundable (including for unused time and downgrades) and exclusive of taxes. If a payment fails, CozyCal may suspend or cancel the subscription.

CozyCal may add, change, suspend, or discontinue any part of the Service — including features, integrations, plans, and pricing — at any time; pricing changes apply at your next renewal.

Cancellation and Termination ​

You can cancel at any time from the team settings page or by emailing support@cozycal.com; cancellation takes effect immediately and prevents future renewals, with no partial refund for the current billing period.

CozyCal may suspend or terminate your access — immediately and without notice for material breaches such as illegal activity, fraud, abuse, or threats to security, and otherwise if you violate these Terms, are overdue for payment, or pose a risk to the Service, other users, or third parties. CozyCal may also decline to renew any subscription for any reason. After termination, CozyCal will delete your content from production systems; residual copies may persist in backups and logs, and limited records may be retained as required by law.

Intellectual Property ​

CozyCal and its licensors own all rights, title, and interest in the Service, including all software, designs, and documentation. You retain ownership of any content you submit to the Service, and grant CozyCal a worldwide, non-exclusive, royalty-free license to host, store, back up, transmit, and process that content to provide and improve the Service, and to generate aggregated or de-identified data.

Any feedback, suggestions, or ideas you share about the Service may be used by CozyCal without obligation or attribution.

Limitation of Liability ​

To the maximum extent permitted by law, neither party shall be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising out of or related to the Service, regardless of the form of action (whether in contract, tort, statute, or otherwise) and regardless of whether the party has been advised of the possibility of such damages. Each party's total cumulative liability for any and all claims related to the Service and these Terms will not exceed the lesser of (a) the amounts you paid to CozyCal in the three (3) months preceding the event giving rise to the claim, or (b) US$100. These limitations apply even if any limited remedy fails of its essential purpose, and do not limit your obligation to pay fees owed.

Disclaimer of Warranties ​

The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. CozyCal does not warrant that the Service will be uninterrupted, error-free, or secure, or that any defects will be corrected.

Indemnification ​

You will defend, indemnify, and hold CozyCal, its officers, employees, and agents harmless from third-party claims, damages, losses, and reasonable legal fees arising out of:

• content you submit to the Service that infringes a third party's intellectual property, publicity, or privacy rights, or is defamatory;
• your use of the Service in violation of applicable law — including data-protection, anti-spam, and consumer-protection laws (such as the US Telephone Consumer Protection Act (TCPA) and Canada's Anti-Spam Legislation (CASL)) — or in breach of these Terms, including the "Your Data" and "Acceptable Use" sections.

CozyCal will promptly notify you of any covered claim, tender the defense to you, and reasonably cooperate at your expense. You may not settle any claim without CozyCal's prior written consent unless the settlement fully releases CozyCal and imposes no obligation on it other than payment you cover in full.

Governing Law and Disputes ​

These Terms are governed by the laws of the Province of British Columbia, Canada, without regard to its conflict of law provisions. The courts located in Vancouver, British Columbia have exclusive jurisdiction over any dispute arising out of or related to these Terms or the Service, except that either party may bring an individual action in small-claims court, or seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property, confidential information, or account security.

Before filing any claim, you agree to first contact support@cozycal.com and allow 30 days for the parties to attempt a good-faith resolution. To the maximum extent permitted by law, you and CozyCal each agree to bring any dispute solely in an individual capacity (and not as part of any class, collective, or representative action) and waive any right to a trial by jury.

Miscellaneous ​

Neither party is liable for failure or delay in performance (other than payment obligations) caused by circumstances beyond its reasonable control. If any provision is held unenforceable, the rest remains in effect. You may not assign these Terms without CozyCal's prior written consent; CozyCal may assign in connection with a merger, acquisition, or sale of assets. Any claim arising out of or related to these Terms or the Service must be brought within one year after the cause of action accrues, or be permanently barred. The sections titled Your Data, Intellectual Property, Limitation of Liability, Disclaimer of Warranties, Indemnification, Governing Law and Disputes, and this Miscellaneous section survive any termination or expiration of these Terms.
